1. Agreement to terms
By accessing or using the Udal website, platform or services, you agree to be bound by these terms. If you do not agree, you must not use the services. These terms are intended for business users, not consumers.
2. Definitions
“Platform” means the Udal sovereign AI control plane and any associated software, APIs or infrastructure. “Customer” means the organisation that has entered into a subscription or evaluation agreement with Udal. “User” means any individual authorised by the Customer to access the Platform.
3. Use of the platform
The Customer and its Users may use the Platform only for lawful business purposes and in accordance with the agreed subscription scope. Users must keep credentials secure and must not attempt to circumvent access controls, reverse engineer the Platform, or introduce harmful code.
4. Customer data
The Customer retains ownership of all data, prompts, outputs and models it processes through the Platform. Udal processes such data only as needed to provide and support the Platform, and in line with the applicable data processing agreement.
5. Intellectual property
Udal and its licensors own all rights in the Platform, documentation and brand materials. The Customer receives a limited, non-exclusive, non-transferable licence to use the Platform during the subscription term.
6. Confidentiality
Each party agrees to protect the other’s confidential information and to use it only for the purposes of the agreement. This obligation survives termination for a period of five years.
7. Warranties and disclaimers
Udal warrants that the Platform will materially conform to the documentation during the subscription term. Except as expressly stated, the Platform is provided “as is” without warranties of any kind, to the extent permitted by law.
8. Limitation of liability
Neither party’s liability is excluded for fraud, death or personal injury, or any other liability that cannot be limited under applicable law. Subject to that, Udal’s total liability is capped at the amount paid by the Customer in the twelve months before the claim.
9. Term and termination
Subscriptions run for the agreed term and renew automatically unless cancelled. Either party may terminate for material breach if uncured within thirty days. On termination, Udal will return or delete Customer data in line with the data processing agreement.
10. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to resolve any dispute.
11. Changes to terms
We may update these terms from time to time. Material changes will be notified to Customers at least thirty days before taking effect. Continued use after changes constitutes acceptance.
